Most of what I do is not dreaming up a new thesis. It is stress-testing someone else’s: a GP memo, a sponsor’s base case, a co-investment deck written to sell, or a model whose assumptions have already started to harden into facts.

The job is to identify what the case actually rests on. Which numbers are tied to primary or credible specialist sources? Which assumptions are plausible but aggressive? How do the return model, peer set, downside scenarios, structure, and protections fit together? Which gap can be resolved in confirmatory diligence, and which one would change the recommendation entirely?

Hand over the underwriting, not the decision

The last co-investment I brought to the principal is the example I keep coming back to. The report said proceed, but only to confirmatory diligence. It would not sign off on the margin story against peers, and it named the quality-of-earnings work and minority protections as open items.

That distinction changed the conversation. I did not walk into the room with only my view of the deal. I walked in with a compact case built from far more work: what the view rested on, how the return math and comparisons behaved, which challenges had already been run, the downside that remained live, and an explicit list of what we still did not know. A conditional recommendation was stronger than an artificially clean answer because it gave the committee a decision it could make now and the gates required for the next one.

The report format matters here. Return math, comparable evidence, model outputs, confidence, warnings, source links, and next diligence actions should not be buried across attachments.
